Description of the business

Country of incorporation

SourceBio International plc was incorporated on 8 July 2016 as Sherwood Holdings Limited and changed its name, and re-registered as a public company, on 21 October 2020. SourceBio is a limited liability company incorporated in England and Wales and domiciled in the UK. The address of the registered office is 1 Orchard Place, Nottingham Business Park, Nottingham, Notts NG8 6PX.

Corporate Governance

AIM-quoted companies are required to adopt a recognised corporate governance code with effect from their admission to trading on AIM: however there is no prescribed corporate governance regime in the UK for AIM companies. The Directors recognise the importance of sound corporate governance commensurate with the size and nature of the Group and the interests of its Shareholders. The QCA has published the QCA Code, a set of corporate governance guidelines, which include a code of best practice, comprising principles intended as a minimum standard, and recommendations for reporting corporate governance matters. The Board has adopted the QCA Code with effect from Admission.


The Board comprises of six Directors, of whom Jay LeCoque and Tony Ratcliffe are executive and Sir Ian Carruthers, Simon Constantine, Christopher Mills and Marco Fumagalli are non-executive. Further information on the Directors can be found in our board member section hereChristopher Mills and Marco Fumagalli have been appointed as the Board representatives of Harwood and Continental respectively, pursuant to the Relationship Agreements. The Board considers Sir Ian Carruthers and Simon Constantine of the non-executives to be independent for the purposes of the QCA Code. 

The Board has established an audit committee, a remuneration committee and a nomination committee with formally delegated duties and responsibilities.
